Affiliate Promoter Agreement

This Affiliate Promoter Agreement (the "Agreement") is entered into by and between InCite Research Inc dba Biker InCite, hereinafter referred to as the "Company," and the individual or entity participating as an affiliate promoter, hereinafter referred to as the "Affiliate."

Effective Date: Date of signup

1. Definitions:

1.1. Affiliate: The party who is participating in the affiliate program to promote and sell the Company's products.

1.2. Company: InCite Research a company duly registered and operating under the laws of Wisconsin.

1.3. Product(s): The product(s) offered by the Company that the Affiliate is authorized to promote and sell as per this Agreement.

2. Affiliate Program:

2.1. The Company authorizes the Affiliate to promote and sell its products in accordance with the terms of this Agreement.

2.2. The Affiliate shall receive a commission as compensation for each sale of the Company's products made through their referral links or promotional efforts.

3. Commission and Payment:

3.1. The Affiliate's commission rate, as well as the terms and conditions related to payment, will be detailed in a separate commission schedule, attached as an appendix to this Agreement.

3.2. The Company shall make commission payments to the Affiliate on a monthly basis, subject to a minimum threshold amount as defined in the commission schedule.

4. Promotion Guidelines:

4.1. The Affiliate agrees to promote the Company's products in a lawful and ethical manner.

4.2. The Affiliate shall not engage in any misleading, false, or deceptive advertising and shall not make any claims about the Company's products that are not supported by credible evidence.

5. Termination:

5.1. This Agreement may be terminated by either party with or without cause by providing written notice to the other party 15 days in advance.

5.2. Upon termination, the Affiliate shall immediately cease all promotion of the Company's products and remove any promotional materials from their channels.

6. Confidentiality:

6.1. The Affiliate agrees to keep all non-public information received from the Company, including but not limited to commission rates and customer data, confidential.

7. Intellectual Property:

7.1. The Company grants the Affiliate a non-exclusive, non-transferable license to use the Company's trademarks, logos, and promotional materials solely for the purpose of promoting the Company's products.

8. Governing Law:

8.1. This Agreement shall be governed by and construed in accordance with the laws of Wisconsin.

9. Entire Agreement:

9.1. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings.

10. Amendments:

10.1. This Agreement may be amended or modified in writing, signed by both parties.

IN WITNESS WHEREOF, the parties hereto have executed this Affiliate Promoter Agreement as of the Effective Date.

5. Security

We are committed to safeguarding Affiliate information. We employ reasonable security measures to protect against the loss, misuse, and alteration of data.

6. Retention

We will retain Affiliate information for as long as it is necessary for the purposes outlined in this Policy or as required by applicable laws.

7. Access and Control
